TokenGem is sold under a perpetual, non-exclusive, non-transferable licence to version 1.x, limited to the number of devices on your receipt. The software keeps working offline with no licence server, you own every file it produces, and a refund revokes the key without deleting anything on your machine.

Your TokenGem licence is perpetual for version 1.x — it keeps working forever, offline, on your activated devices, with no licence server — and it includes every version 1.x release published in the 12 months after your purchase.
The licence is non-exclusive and non-transferable. It covers one person (Solo), or the number of devices named on your receipt (Duo, Studio), plus one further device in transient overage, because a dead laptop is not a licence violation. A device is counted, not an install: reinstalling on the same machine uses the same seat.
Updates. Every version 1.x release published within twelve months of purchase is included. After that window the software you have keeps working, and newer releases are available through the optional yearly renewal shown on the pricing page. A version 2.0, if there is ever one, is a separate purchase at an upgrade price published before you are asked to pay it.
The key is a signed token verified on your own machine. There is no licence server, no account and no phone-home requirement: an outage of ours cannot revoke your access. Once a day TokenGem may send an advisory device check containing a hash of the key, a device identifier, the version and the operating system, so seats can be counted. It carries no command text, file path, repository name, code or session content, and it can be switched off with tokengem privacy --device-check off. The privacy policy lists every byte.

Their licences (Apache-2.0 and MIT) are reproduced verbatim in the LICENSES directory and in THIRD_PARTY_NOTICES.md with every build, including the NOTICE file one of them requires. Those licences govern those components; this agreement governs TokenGem. TokenGem is an independent product and is not affiliated with, endorsed by, sponsored by, or maintained by the authors of those projects.
TokenGem and its documentation remain the operator's property. Everything TokenGem writes on your machine belongs to you, and none of it is transmitted: the measurement ledger, the baseline, the repo index, the settings snapshots. Termination of this licence never deletes any of it.
A refund or a chargeback revokes the key. On its next advisory check TokenGem learns this and returns to the free tier: the paid commands (install, profile, savings, proxy, switch) stop, while the conflict report, the baseline and the uninstall keep working. Nothing on your machine is deleted and your settings are not touched. Hooks already installed stay until you run tokengem uninstall, which you may do at any time.
A breach of the restrictions above terminates the licence. A chargeback that is not a genuine dispute may be recorded to prevent further purchases.
TokenGem is provided as is. It reads your agent's own usage records and reports what they say; it does not promise a saving, and its own report will tell you when it produced a loss. To the extent the law that applies to you allows, the operator excludes implied warranties and is not liable for indirect or consequential loss, and total liability is limited to the price you paid. Nothing here limits liability that cannot be limited by law, or the statutory rights of consumers, which this agreement does not reduce.
Operator. The operating entity, its address and its governing law are published on this page and on every receipt before the first sale is taken. Until then nothing on this site takes money.

If any clause here is found unenforceable the rest stands. This agreement is the whole licence for TokenGem version 1.x; a change to it applies to purchases made after the change and never narrows a licence already sold.
